1. **Scope of Services**: Ceramic Solution agrees to perform web development, digital marketing, and related services as outlined in the mutually agreed-upon project proposal or statement of work. Any changes to the scope will require a written change order. 2. **Payment Terms**: Clients agree to the payment schedule specified in the project proposal. Invoices are due within 30 days of receipt. Late payments may incur interest at a rate of 1.5% per month. All fees are exclusive of applicable taxes. 3. **Intellectual Property**: Upon full and final payment, all intellectual property rights for the custom developed software, design, and content created by Ceramic Solution for the client will be transferred to the client. Ceramic Solution retains the right to display the completed project in its portfolio for promotional purposes. 4. **Project Milestones and Review**: Projects will be executed in phases with defined milestones. Client review and approval are required at each milestone. Delays in client feedback or provision of necessary assets may impact project timelines.
5. **Confidentiality**: Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of the project, including but not limited to business strategies, technical data, and client lists. 6. **Limitation of Liability**: Ceramic Solution's liability for any claim arising from the services provided shall not exceed the total fees paid by the client for the specific services giving rise to the claim. We are not liable for indirect, incidental, or consequential damages. 7. **Termination**: Either party may terminate the agreement with 30 days' written notice. In the event of termination, the client will be responsible for payment for all services rendered up to the termination date. Specific termination clauses are detailed in the project proposal. 8. **Governing Law**: This agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising hereunder shall be resolved in the courts of San Francisco, California.
